Please read these terms carefully before using the PickNDrop platform.

1. Acceptance of Terms

By accessing or using the PickNDrop mobile application, website, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and PickNDrop. Your continued use of the Platform following any modifications to these Terms constitutes acceptance of those modifications.

3. Account Registration

3.1 Eligibility

You must be at least eighteen (18) years of age to create an account on the Platform. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement under the laws of the Republic of Ghana.

3.2 Account Information

You are required to provide accurate, current, and complete information during registration, including your full name, phone number, and email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Types

The Platform supports two primary account types: Customer accounts and Rider accounts. Each account type is subject to its own specific terms as outlined in the sections below. PickNDrop reserves the right to suspend or terminate any account that violates these Terms or engages in fraudulent activity.

4. Customer Terms

4.1 Creating Delivery Requests

Customers may create Delivery Requests by providing pickup and drop-off locations, a description of the item to be delivered, and any relevant instructions. You must ensure that all information provided in a Delivery Request is accurate and complete. PickNDrop is not responsible for delays or failed deliveries caused by inaccurate information.

4.2 Accepting Proposals

Once a Delivery Request is submitted, verified Riders may submit Proposals including their proposed fee. Customers may review and accept a Proposal at their discretion. Acceptance of a Proposal constitutes an agreement between the Customer and the Rider for the delivery service at the proposed price.

4.3 Payment Obligations

Upon accepting a Proposal, the Customer is obligated to pay the agreed delivery fee. Payment must be made through the Platform using one of the supported payment methods. The delivery fee is held in Escrow until the delivery is confirmed as complete. Customers who fail to make payment may have their accounts restricted.

4.4 Delivery Codes

Each delivery is assigned a unique 6-digit confirmation code. The Customer or the designated recipient must provide this code to the Rider upon delivery to confirm receipt of the item. The Rider enters this code into the Platform to confirm successful completion of the delivery, which triggers the release of funds from Escrow. You must not share your delivery code with any party other than the Rider at the time of delivery.

4.5 Dispute Rights

Customers have the right to raise a dispute within twenty-four (24) hours of a delivery being marked as complete. Disputes may be raised for reasons including but not limited to damaged items, missing items, or delivery to an incorrect location. PickNDrop will review all disputes using available evidence, including GPS tracking logs, chat history, and delivery confirmation records. Dispute outcomes are determined at the sole discretion of PickNDrop.

5. Rider Terms

5.1 Verification Requirements

All Riders must complete a verification process before being permitted to accept Delivery Requests. Verification requires the submission of a valid Ghana Card (national identification), a valid motorcycle registration certificate, and a clear photograph. PickNDrop reserves the right to reject any application that does not meet verification standards or to revoke verification status at any time.

5.2 Tier System

Riders are classified into four tiers based on their performance, reliability, and tenure on the Platform: Bronze, Silver, Gold, and Platinum. Each tier carries specific privileges and obligations. Tier advancement is determined by PickNDrop based on metrics including completed deliveries, customer ratings, and compliance with Platform policies. PickNDrop may adjust tier assignments at its discretion.

5.3 Commission

PickNDrop charges a commission of fifteen percent (15%) on each completed delivery. This commission is automatically deducted from the delivery fee before the remaining balance is credited to the Rider's available balance. Business account deliveries may be subject to a reduced commission rate of twelve percent (12%).

5.4 Insurance Fee

An insurance fee of three percent (3%) is deducted from each delivery fee and contributed to the PickNDrop Insurance Fund. This fee is separate from the commission and is applied to all deliveries regardless of tier. Details of insurance coverage are outlined in Section 8 of these Terms.

5.5 Cash Delivery Limits

Cash-on-delivery payments are available only to Riders at Silver tier and above. The maximum value for a single cash delivery is GHS 200. Riders whose available cash balance reaches the cash balance block threshold of GHS 100 are required to remit funds before accepting additional cash deliveries. These limits are in place to minimize financial risk for all parties.

5.6 Code of Conduct

Riders must conduct themselves professionally at all times while using the Platform. This includes handling items with care, communicating respectfully with Customers, adhering to traffic laws, and maintaining their motorcycle in a safe and operational condition. Riders must not consume alcohol or any intoxicating substance while performing deliveries. Violations of this code of conduct may result in warnings, tier demotion, temporary suspension, or permanent removal from the Platform.

6. Payment Terms

6.1 Escrow System

All delivery payments are processed through an escrow system. When a Customer pays for a delivery, the funds are held securely by PickNDrop until the delivery is confirmed as complete through the delivery code mechanism. Once confirmed, the Rider's share (after commission and insurance deductions) is credited to their available balance on the Platform.

6.2 Payment Processing

All electronic payments on the Platform are processed through Paystack, a licensed payment service provider. PickNDrop does not directly process, store, or have access to your full payment card details. Paystack is PCI-DSS compliant and handles all payment data in accordance with applicable security standards.

The Platform supports the following payment methods:

Refunds may be issued at the discretion of PickNDrop following a successful dispute resolution in favour of the Customer. Refunds for electronic payments will be returned to the original payment method. Refund processing times depend on the payment provider and may take up to seven (7) business days. Cash delivery refunds are handled directly through the Platform's balance system.

6.5 Withdrawal Process

Riders may withdraw their available balance from the Platform to a linked Mobile Money account or bank account. Withdrawal requests are processed within the timeframes specified in the Platform. PickNDrop reserves the right to place a temporary hold on withdrawals if there are pending disputes or suspected fraudulent activity associated with the Rider's account.

7. Fees and Charges

The following fees apply to transactions on the Platform:

PickNDrop reserves the right to modify fees with prior notice to users. Any changes to fees will be communicated through the Platform and will apply to transactions initiated after the effective date of the change.

8. Insurance

8.1 Insurance Fund

PickNDrop maintains an Insurance Fund funded by a three percent (3%) fee deducted from each delivery. This fund is used to provide coverage for eligible claims related to lost, damaged, or stolen items during transit on the Platform.

8.2 Coverage

The Insurance Fund covers the declared value of items that are lost, damaged, or stolen while in the custody of a Rider during an active delivery. Coverage limits vary by Rider tier and are subject to the maximum coverage amounts established by PickNDrop. Items must have an accurate declared value at the time of the Delivery Request to be eligible for coverage.

8.3 Claim Process

To file an insurance claim, the Customer must raise a dispute within the twenty-four (24) hour dispute window and provide evidence supporting the claim. PickNDrop will investigate the claim using all available data, including GPS tracking records, delivery photographs, and communication history. Claims are reviewed and resolved within the timeframe communicated during the investigation. PickNDrop's determination of claim eligibility and payout amount is final.

8.4 Exclusions

The Insurance Fund does not cover items that are prohibited under these Terms, items with a declared value that is materially inaccurate, damage resulting from improper packaging by the Customer, or claims submitted after the twenty-four (24) hour dispute window has expired.

Users of the Platform are prohibited from:

Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of any pending balances, and referral to law enforcement authorities where applicable.

10. Limitation of Liability

PickNDrop operates as a technology platform that connects Customers with independent Riders. PickNDrop is not a delivery company and does not directly employ Riders. To the maximum extent permitted by the laws of the Republic of Ghana, PickNDrop shall not be liable for:

In no event shall PickNDrop's total liability to any user exceed the total amount of fees paid by or to that user through the Platform in the twelve (12) months preceding the claim.

11. Dispute Resolution

11.1 Internal Review

All disputes between users must first be submitted to PickNDrop for internal review through the Platform's dispute mechanism. PickNDrop will review the evidence and render a decision within a reasonable timeframe. Both parties agree to cooperate with the investigation and provide any requested information.

11.2 Arbitration

If a dispute cannot be resolved through internal review, either party may refer the matter to binding arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798) of the Republic of Ghana. Arbitration shall be conducted in Accra, Ghana, in the English language, by a single arbitrator mutually agreed upon by the parties. The arbitrator's decision shall be final and binding.

11.3 Limitation Period

Any claim arising from or related to these Terms or the use of the Platform must be brought within one (1) year from the date the cause of action arose. Claims brought after this period shall be barred.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any legal proceedings that are not subject to arbitration as described in Section 11 shall be brought exclusively in the courts of competent jurisdiction in Accra, Ghana.

13. Modifications to Terms

PickNDrop reserves the right to modify these Terms at any time. When material changes are made, we will notify users through the Platform via push notification and in-app notice at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.

14. Intellectual Property

All content, trademarks, logos, software, and intellectual property associated with the Platform are the exclusive property of PickNDrop or its licensors. Users are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. No rights in any intellectual property are transferred to users through the use of the Platform.

15. Termination

Either party may terminate the account relationship at any time. Customers may deactivate their account through the Platform settings. Riders who wish to leave the Platform must complete all pending deliveries and withdraw any outstanding balance before deactivation. PickNDrop may terminate or suspend any account immediately and without notice for violations of these Terms, fraudulent activity, or conduct that endangers the safety of other users.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
